Terms of Service

1. Definitions

• "Service" means the CloseSense platform, including contract AI extraction, deadline tracking, SMS and email notifications, document management, closing readiness tracking, and related features.
• "You" means the real estate agent, broker, or authorized representative who registers an account.
• "Transaction Party" means a buyer, seller, lender, title company, or other participant in a real estate transaction who may receive communications through our platform.
• "We," "our," or "us" means RassaUSA Inc. dba SenseLabs, operating as CloseSense.

2. Account Registration

To use our service, you must register an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to create an account. You agree to notify us immediately of any unauthorized use of your account.

3. Design Partner Program

CloseSense is currently onboarding Design Partners. During the Design Partner period:

• The service is provided at no cost unless otherwise agreed
• We may modify, suspend, or discontinue features with reasonable notice
• Service availability is not guaranteed and may experience interruptions
• Data may be reset or modified as we iterate on the product
• Design Partners will receive preferential pricing when we launch paid plans

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose
• Submit false, misleading, or fraudulent transaction data
• Interfere with or disrupt the service's infrastructure
• Attempt to reverse-engineer, decompile, or extract our AI extraction models or algorithms
• Resell, sublicense, or redistribute the service without written permission
• Use automated tools to scrape or extract data from the platform
• Access or attempt to access transactions belonging to other agents or brokers

5. SMS and Email Communications

5.1 Your Consent Responsibilities

Our service sends SMS messages and emails to your transaction parties for deadline reminders, closing notifications, and document requests. You are responsible for:

• Obtaining proper consent from transaction parties before sending them SMS or email communications
• Complying with applicable telemarketing and SMS regulations, including the Telephone Consumer Protection Act (TCPA) and carrier-specific A2P 10DLC requirements
• Ensuring transaction parties are informed that they can opt out by replying STOP to any SMS message
• Maintaining records of consent obtained from each party
• Not using our service to send unsolicited or unwanted messages

We are not liable for messages sent to recipients who have not provided proper consent.

5.2 Opt-Out Mechanism

Every SMS message sent through CloseSense includes the instruction "Reply STOP to opt out." Recipients may opt out by:

• Replying STOP or UNSTOP to any message — stops all further messages immediately
• Replying HELP to any message — displays available commands and support contact information
• Contacting you directly to request removal from SMS communications
• Contacting CloseSense at [email protected]

If a recipient opts out, no further messages will be sent to that phone number unless the recipient re-subscribes by texting START to our number or providing renewed consent. Opt-out requests are processed immediately.

5.3 Your Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from your use of SMS or email features in violation of TCPA or other communication regulations, or from sending messages to recipients who have not provided proper consent.

5.4 Message Limitations

SMS messages are sent via third-party carriers and delivery is not guaranteed. We are not responsible for: carrier filtering or blocking, delayed delivery, messages routed to spam folders, or failed delivery due to recipient phone status. Message and data rates may apply to recipients per their mobile carrier plan.

6. Payments

Our service uses Stripe, Inc. for payment processing. You acknowledge that:

• Stripe processes all financial transactions — we do not store or handle card details
• You are responsible for any fees associated with your pricing plan
• Refunds are subject to Stripe's processing timeline (5–10 business days)

7. Data and Intellectual Property

Your data: You retain ownership of all transaction, contact, and document data you upload. We process this data solely to provide the service.

Our intellectual property: The CloseSense platform, including our AI extraction models, algorithms, UI design, and branding, is our proprietary property. You may not copy, modify, or distribute any part of the service without written permission.

AI extraction models: Our contract extraction models are trained on aggregated, anonymized patterns. Individual agent data improves the model for everyone, but no agent's specific transaction data is ever exposed to another agent.

8. Email Integrations

Our service may integrate with your Gmail or Outlook account via OAuth to send emails on your behalf. These integrations:

• Require your explicit consent — you must click "Connect" and authorize the connection through Google or Microsoft
• Store encrypted OAuth tokens (not your password) to maintain the connection
• Only request the minimum permissions needed (send email, view email address)
• Can be disconnected at any time from the Settings page
• Are subject to Google's and Microsoft's respective terms of service and API policies

9. Service Level and Support

We strive to provide reliable service but do not guarantee uninterrupted access. During the Design Partner period, we aim for best-effort availability. We provide support via email and will respond to reasonable requests within one business day.

10. Limitation of Liability

To the maximum extent permitted by law:

• The service is provided "as is" without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the service
• Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim
• We are not liable for AI-extracted deadline dates that prove inaccurate — extracted dates are guidance, not legal advice, and should be verified against the source document
• We are not liable for missed deadlines, contract breaches, or financial losses resulting from reliance on the service

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from: (a) your violation of these Terms, (b) your violation of applicable laws or regulations, (c) your use of SMS or email features in violation of TCPA or other communication regulations, or (d) claims by your transaction parties related to communications sent through our platform, including claims arising from failure to obtain proper consent.

12. Termination

We may suspend or terminate your account if you violate these Terms, with notice where practicable. You may terminate your account at any time by contacting us. Upon termination:

• We will delete your personal data within 30 days, subject to legal retention requirements
• You may request a data export before account closure
• Any connected email integrations (Gmail/Outlook) will be automatically disconnected

13. Dispute Resolution

These Terms are governed by the laws of the State of Georgia, USA. Any disputes shall first be attempted to resolve through good-faith negotiation. If unresolved, disputes shall be settled through binding arbitration in Greene County, Georgia, in accordance with the rules of the American Arbitration Association.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

15. General Provisions

Entire Agreement: These Terms constitute the entire agreement between you and CloseSense regarding the service.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver: Failure to enforce any provision does not constitute a waiver.

Assignment: You may not assign your rights under these Terms without our written consent.
